The rules for using this website and the Essa demo.

1. Acceptance

By accessing or using this website (the "Site") or the public Essa planning demo ("Essa demo"), you agree to these Terms of Use. The Site does not currently require an account or an explicit acceptance checkbox; your continued use of the Site constitutes your agreement to these terms. If you do not agree, please do not use the Site or the Essa demo.

2. Website purpose

The Site provides:

• corporate information about Praevis Solutions Inc.;
• information about Praevis Solutions products, including Essarc, GineerX, and Praevis Tools;
• information about Praevis Solutions' current professional-services offerings; and
• the controlled public Essa demo described below.

3. The Essa demo

The Essa demo is a controlled public planning preview intended to illustrate how Praevis Solutions' planning intelligence works. It is AI-assisted: it is not a production schedule, not a baseline schedule, not a contractual schedule, not a professional certification, not an engineering sign-off, and not a substitute for review by a qualified planner or other relevant professional.

The demo follows one principle throughout:

Essa interprets. Praevis Solutions calculates. The planner decides.

Essa (an AI service) proposes activities, durations, sequencing, and planning assumptions from the scope you describe. A deterministic engine — not the AI — then calculates dates, float, criticality, and feasibility from that proposal. You, the user, remain responsible for reviewing the result.

The demo does not provide project save, file upload, file export, baseline authoring, cost loading, resource or manpower loading, earned value management (EVM), contractual schedule certification, or regulated professional sign-off, and is limited to a maximum of 50 activities including the Project Completion milestone.

4. Your responsibility

If you use the Essa demo, you remain solely responsible for independently validating any scope, activities, durations, relationships, assumptions, dates, constructibility considerations, contractual suitability, and professional or regulatory compliance implicated by anything the demo produces, before relying on it for any purpose.

5. No reliance; no warranty

The Site and the Essa demo are provided for general informational and evaluation purposes only. To the maximum extent permitted by applicable law, the Site and the Essa demo are provided "as is" and "as available," without warranties of any kind, express or implied, including as to accuracy, completeness, fitness for a particular purpose, or non-infringement. You should not rely on Essa demo output for any contractual, engineering, construction, safety, financial, or other consequential decision without independent professional review.

6. No confidential information

Do not submit confidential, sensitive, export-controlled, privileged, personal, proprietary, or security-sensitive project information to the public Essa demo. The demo is intended for illustrative, non-confidential project descriptions only.

7. Permitted use

You may access and use the Site and the Essa demo for normal lawful evaluation of Praevis Solutions' products and services. You agree not to:

• attempt to bypass, disable, or circumvent security controls or rate limits;
• attack, probe, or attempt to disrupt the Site, the Essa demo, or the infrastructure supporting them, except through lawful, authorized security research conducted responsibly and without causing harm or service disruption;
• submit automated or excessive requests intended to abuse the Essa demo beyond ordinary evaluation use; or
• use the Site or the Essa demo for any unlawful or harmful purpose.

8. Intellectual property

The Site's content, branding, product and demo interfaces, and related materials are owned by or licensed to Praevis Solutions Inc., subject to applicable rights. Product and service names referenced on the Site, including Essarc, GineerX, Praevis Tools, and Essa, are used by Praevis Solutions in connection with its products and services. This paragraph does not represent that any specific mark is registered in any jurisdiction.

9. Third-party services

Portions of the Site's functionality, including the Essa demo's AI-assisted interpretation, rely on third-party infrastructure and AI service providers. Availability and behavior of that functionality may depend on those providers, and Praevis Solutions is not responsible for outages, errors, or limitations originating from third-party providers outside our control.

10. Service availability

We do not guarantee uninterrupted or error-free availability of the Site or the Essa demo. The Essa demo, including its scope, limits (such as the activity cap and per-session generation limit), and features, may be changed, suspended, limited, or withdrawn at any time without notice.

11. Professional services

Nothing on the Site, and no use of the Essa demo, itself creates a client relationship, a consulting engagement, a professional-services contract, or an engineering certification. Any paid professional-services engagement with Praevis Solutions is governed by a separate written agreement between Praevis Solutions and the client.

12. Regulated professional activity

Praevis Solutions Inc. does not undertake activities constituting the practice of a regulated profession, or activities requiring a secondary license, permit, accreditation, or government approval, except where appropriate authorization and qualified professionals are engaged.

13. Product status

Descriptions on the Site of planned, developing, or future product capability — including future Essarc capability — are informational only. They do not constitute a commitment by Praevis Solutions to release any specific feature, capability, or product on any particular date, or at all.

14. Limitation of liability

To the maximum extent permitted by applicable law, Praevis Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your access to or use of, or inability to access or use, the Site or the Essa demo, even if advised of the possibility of such damages. Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law. This clause requires legal review before final publication to confirm enforceability in the applicable jurisdiction(s).

15. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold Praevis Solutions Inc. harmless from reasonable claims, damages, and expenses directly arising from your misuse of the Site or the Essa demo in violation of these Terms. This clause requires legal review before final publication.

16. Governing law

Praevis Solutions Inc. is a Philippine corporation. These Terms are intended to be governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles, subject to confirmation on legal review. This section does not specify a venue or court, pending that review.

17. Changes

We may update these Terms as the Site, the Essa demo, or our business practices change. Material changes will be reflected by updating the draft date above. Continued use of the Site after an update constitutes acknowledgment of the then-current Terms.
